Terms of Service

How we quote, bill and deliver work — and the things we will not promise. Written so you can read it once and know where you stand.

Last updated: 2 November 2026. These terms apply to work carried out by WebbotX, Delhi Gate, Najafgarh, New Delhi 110043, India. Where a signed proposal says something different, the proposal wins.

1. What we do

We provide website design, website and ecommerce development, search engine optimisation, and digital marketing services. Every engagement starts with a written proposal that lists the scope, the price, the payment stages and the expected dates. Nothing starts before you have that document and have agreed to it in writing, including by email.

2. Scope and changes

The proposal is the scope. Anything outside it is a change, and a change gets its own written estimate before any work on it begins. We will not do extra work and surprise you with an invoice, and we will not absorb unlimited additions into a fixed price.

Design engagements include two rounds of revisions on the agreed templates unless the proposal says otherwise. Further rounds are quoted separately.

3. What we need from you

Projects stall for predictable reasons, so these are your side of the agreement:

  • Content. Your service list, prices, images and any legal text, in a usable format. If you ask us to write it, that is in the proposal.
  • Access. Hosting, domain, existing site and any accounts we need, provided promptly.
  • One decision maker. A single person who can approve or reject. Feedback gathered from a committee after each stage will extend the timeline.
  • Timely feedback. We will tell you what we are waiting for. If approvals stop for more than 30 days, we may invoice the stage completed to date and reschedule the remainder.

4. Payment

  • Project work is billed in stages set out in the proposal, normally an advance to begin, a payment at design sign-off, and the balance before launch.
  • Retainers (search and marketing) are billed monthly in advance and run month to month. Either side may end a retainer with 15 days written notice before the next cycle.
  • Invoices are payable within 7 days unless stated otherwise. Taxes are charged as applicable under Indian law.
  • Third-party costs such as domains, hosting, licences, plugins, stock images and advertising budgets are yours, billed at cost or paid directly by you. They are separate from our fees.
  • Late payment. If an invoice is more than 15 days overdue we may pause work. We will tell you before we do, not afterwards.

5. Timelines

We give dates we believe we can meet and tell you early when something slips, with the reason. Most business websites take four to seven weeks from the point content and approvals are in hand. Audits are returned within two working days of receiving your URL. Dates assume you meet your side of section 3; they move if you do not.

6. Who owns what

  • On final payment, you own the finished website: the code we wrote for you, the content, the design files, and the admin. Hosting, domain and third-party accounts are registered in your name.
  • Before final payment, the work remains ours. Launching an unpaid site is not permitted.
  • We keep our own general-purpose tools, libraries and internal patterns, which we reuse across clients. Nothing of yours is reused for anyone else.
  • You confirm that content you supply is yours to use. If a third party claims otherwise over material you gave us, that claim is yours to answer.
  • Portfolio. We may show the finished public work as an example, and name you as a client, unless you tell us in writing not to. We will never publish your private data, traffic figures or internal documents.

7. What we do not promise

This section matters, so it is blunt:

  • We do not guarantee any search ranking, position or traffic figure. Nobody honestly can, because the ranking systems are not ours to control.
  • We do not guarantee a number of enquiries, a conversion rate, or a return on advertising spend.
  • We do not guarantee that a third-party platform, plugin, gateway or API will keep working the way it does today.

What we do commit to is the work itself: doing what the proposal says, reporting honestly on what happened, and telling you when something is not working rather than hiding it in a dashboard.

8. Support and fixes

Faults in work we built are fixed at our cost. That covers things that do not function as agreed. It does not cover new features, changes you request after sign-off, problems caused by edits made by others, or failures of third-party services. Those are quoted as new work.

Any ongoing maintenance or hosting arrangement is a separate agreement with its own scope and fee.

9. Confidentiality

Anything you share that is not public — pricing, strategy, customer data, internal documents — stays confidential, and we expect the same of our proposals and working documents. This survives the end of the engagement.

10. Ending an engagement

  • You may stop a project at any time in writing. You pay for work completed and approved up to that point. See our Refund Policy for how that is calculated.
  • We may stop if invoices go unpaid, if we are asked to do something unlawful or misleading, or if the working relationship becomes abusive. We will give written notice and hand over everything already paid for.
  • On exit you keep the code, content, accounts and documentation for work that has been paid for. We do not withhold logins as leverage.

11. Liability

We are a small studio and our liability is limited accordingly. Where liability cannot be excluded by law, our total liability for any claim is limited to the fees you have paid us for the specific engagement in the preceding three months. We are not liable for lost profit, lost data where a backup you declined would have prevented it, or losses caused by third-party services.

12. Governing law

These terms are governed by the laws of India. Disputes fall under the jurisdiction of the courts at Delhi. Before anyone goes to court, both sides agree to attempt to resolve the matter in a direct conversation.

13. Changes

We may update these terms. The version in force for your engagement is the one published when your proposal was accepted, and the last updated date above tells you which that is. Current clients are emailed about material changes.
